Terms of Service

Please read these terms carefully before using RVK AI services.

1. Acceptance of Terms

By accessing or using RVK AI's services, website, or any associated applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you (or the entity you represent) and RVK AI. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

RVK AI provides AI-powered voice agent services designed for behavioral health facilities, including but not limited to: • 24/7 automated admissions call handling • Pre-assessment and intake automation • Insurance verification assistance • Follow-up and appointment scheduling • Integration with electronic health record (EHR) systems The specific features and functionality available to you depend on your subscription plan and any additional services you have purchased.

3. User Obligations

You agree to: • Provide accurate and complete information when registering for and using the Services • Maintain the confidentiality of your account credentials • Notify us immediately of any unauthorized access to your account • Use the Services only for lawful purposes and in compliance with applicable laws • Comply with all HIPAA requirements when using the Services to process Protected Health Information (PHI) • Not attempt to reverse engineer, decompile, or disassemble any part of the Services • Not use the Services to transmit malware, spam, or other harmful content

4. HIPAA Compliance

RVK AI is committed to HIPAA compliance. For customers who are Covered Entities or Business Associates under HIPAA: • We will enter into a Business Associate Agreement (BAA) upon request • We implement administrative, physical, and technical safeguards to protect PHI • We will notify you of any breach of unsecured PHI in accordance with HIPAA requirements • We limit the use and disclosure of PHI to the minimum necessary to accomplish the intended purpose You are responsible for ensuring your use of the Services complies with HIPAA and any other applicable healthcare regulations.

5. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms or required by law. • Payment is due upon invoice • We reserve the right to change pricing with 30 days' notice • Failure to pay may result in suspension or termination of Services • You are responsible for all taxes associated with your use of the Services For enterprise customers, payment terms may be negotiated separately and documented in a Master Service Agreement.

6. Prohibited Uses

You may not use the Services: • In any way that violates applicable laws or regulations • To process or store information about individuals under 13 years of age without appropriate consent • To impersonate any person or entity • To interfere with or disrupt the Services or servers • To attempt to gain unauthorized access to any systems or networks • To use automated means to access the Services without our permission • For any purpose that is harmful, fraudulent, or deceptive • In a manner that could damage, disable, or impair the Services

7. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are owned by RVK AI or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RVK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless RVK AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.

10. Termination

Either party may terminate these Terms at any time with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Services or other users. Upon termination, your right to use the Services will cease immediately. We will provide you with access to export your data for 30 days following termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Broward County, Florida.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
